1. Purpose and acceptance

These Terms of Sale (the “Terms”) govern, without restriction or reservation, the entire contractual relationship between Mesh Communication SAS, publisher of the Radar service (the “Publisher”), and any legal entity or professional subscribing to the Radar service (the “Customer”).

The Radar service is intended for professional use only. These Terms apply exclusively to professional customers within the meaning of the preliminary article of the French Consumer Code. Subscribing to the service constitutes full and unreserved acceptance of these Terms.

2. Definitions

  • Service: the Radar online platform available at radar.rn20.digital, which generates automated personalised monitoring digests.
  • Digest: a periodic summary of trends and information produced by the Service based on parameters set by the Customer.
  • Account: the personal area allowing the Customer to configure monitoring feeds, manage recipients and manage the subscription.
  • Subscription: a paid (Pro, Unlimited) or free (Free) plan subscribed to by the Customer.

3. Description of the Service

Radar is a subscription-based personalised monitoring service. It aggregates, analyses and automatically summarises content from public sources to produce, at a chosen frequency, structured digests (trends, briefs, categories) delivered to the recipients designated by the Customer.

The features of each plan (number of feeds, number of recipients, frequency, analysis depth) are described on the pricing page of the Site and may change over time. The Publisher reserves the right to evolve the Service’s features at any time.

4. Customer account

Subscribing to the Service requires the creation of an Account. The Customer undertakes to provide accurate information and to keep it up to date. The Customer is solely responsible for the confidentiality of credentials and for any action carried out from the Account.

5. Pricing and invoicing

5.1 Plans

  • Free: €0/month — 1 feed, 1 recipient, weekly digest.
  • Pro: €4.99/month (excl. VAT) — 3 feeds, 5 recipients per feed, custom sources.
  • Unlimited: €15/month (excl. VAT) — unlimited feeds, unlimited recipients, priority support.

5.2 Currency and VAT

Prices are quoted in euros, exclusive of VAT. French VAT at the applicable rate (currently 20%) is added at invoicing for customers liable for VAT in France. For professional customers established in another EU member state and holding a valid EU VAT number, invoicing is made VAT-free under the reverse-charge mechanism.

5.3 Invoicing

An invoice is made available in the Customer’s personal area at each billing cycle. Invoices can be downloaded as PDF files.

6. Payment terms

Payment is made exclusively by credit card via the payment provider Stripe Payments Europe, Ltd., whose terms are available at stripe.com. The Customer expressly authorises the automatic debit of the subscription at each billing cycle.

In the event of payment failure, the Publisher may suspend access to the Service after notice to the Customer, without prejudice to its right to recover any sums due. In accordance with article L. 441-10 of the French Commercial Code, any late payment automatically triggers late-payment penalties calculated at the ECB refinancing rate plus 10 percentage points, together with a fixed recovery allowance of €40.

7. Term, renewal and termination

7.1 Term

The subscription is concluded for a term of one (1) month from the subscription date. It renews automatically by tacit renewal for successive monthly periods unless terminated by the Customer.

7.2 Termination by the Customer

The Customer may terminate the subscription at any time from the personal area. Termination takes effect at the end of the current paid period: no pro-rata refund is made for the period already started.

7.3 Termination by the Publisher

The Publisher may suspend or terminate the subscription as of right, after notice remaining without effect for fifteen (15) days, in the event of a serious breach by the Customer (non-payment, abusive use, breach of these Terms, infringement of third-party rights).

8. Availability of the Service

The Publisher undertakes to use reasonable technical means to ensure the availability of the Service. The Service is however provided on a best-efforts basis, without contractual service-level commitment (SLA) unless agreed separately in writing.

The Publisher reserves the right to interrupt access to the Service temporarily for maintenance, upgrades or in the event of force majeure.

9. Personal data

In the context of the Service, the Publisher acts as data controller for the Customer’s Account data, and as data processor for the digest recipients’ contact details provided by the Customer, in accordance with article 28 of the GDPR.

The Customer warrants that they have collected from the recipients they enter the information and consents required to receive digests, and undertakes to be able to demonstrate this upon first request.

Data is hosted within the European Union. It is retained for the duration of the subscription and then archived within the applicable legal retention periods (notably 10 years for accounting records). The Customer and recipients may exercise their GDPR rights by writing to bonjour@rn20.digital.

10. Intellectual property

The Publisher retains all intellectual property rights in the Service, its source code, interfaces and components. It grants the Customer a personal, non-exclusive and non-transferable right to use the Service for the duration of the subscription.

Digests produced by the Service may be freely used internally by the Customer in the course of its professional activity. Any resale or public distribution for consideration is subject to the Publisher’s prior consent.

11. Liability

The Service produces summaries from public sources: it does not substitute for sector-specific expertise and does not constitute professional, legal, financial or medical advice. The Customer remains solely responsible for the use it makes of the digests.

The Publisher’s liability, for any loss whatsoever, shall not exceed the total amount actually paid by the Customer over the twelve (12) months preceding the event giving rise to the claim. The Publisher shall under no circumstances be liable for indirect losses (loss of business, loss of opportunity, reputational harm).

12. Confidentiality

Each Party undertakes to preserve the confidentiality of non-public information transmitted by the other Party in the context of the Service, for the entire duration of the contract and for three (3) years after its end.

13. Force majeure

Neither Party shall be held liable for any breach of its obligations due to a force majeure event as defined by article 1218 of the French Civil Code and applicable case law.

14. Amendments to the Terms

The Publisher may amend these Terms at any time. The Terms applicable are those in force on the day of subscription renewal. Any material amendment will be notified to the Customer by email at least thirty (30) days before its entry into force. Within this period the Customer may terminate the subscription free of charge if the new conditions are refused.

15. Governing law, language and jurisdiction

These Terms are governed by French law. The French version of these Terms is the binding version: in the event of any discrepancy with a translation, the French version shall prevail.

Any dispute relating to their formation, interpretation or execution shall, in the absence of an amicable settlement, be submitted to the exclusive jurisdiction of the Commercial Court of Toulouse, including in the case of multiple defendants or third-party proceedings.
